PADEL ODYSSEY (PTY) LTD TERMS & CONDITIONS FOR PADEL TOURS, RETREATS, AND EVENTS
1. PURCHASE AND SALE
Padel Odyssey (Pty) Ltd (Reg. No. 2025/854961/07), trading as "Padel Odyssey" ("Padel Odyssey"), hereby agrees to sell to the Buyer, who agrees to purchase the padel tour packages, retreat experiences, coaching sessions, event tickets, or related services ("Packages") as per the sales proposal/offer presented by Padel Odyssey to the Buyer, on the terms and conditions contained in this agreement ("Agreement").
2. PAYMENT OF PURCHASE PRICE: The Buyer shall:
2.1 Pay to Padel Odyssey the total purchase price after receipt of an appropriate Tax Invoice from Padel Odyssey.
2.2 Be liable for the total cost, inclusive of VAT, upon signature of the booking form.
2.3 Only have the Packages (including tickets, coaching confirmations, or accommodations) allocated to him/her once this signed Agreement, together with the total purchase price, has been received by Padel Odyssey.
2.4 You will only be entitled to physical/digital possession of said Packages once the full purchase price has been paid to Padel Odyssey.
2.5 Collect/deliver the Packages on the date advised by Padel Odyssey, and should payment not be made by the Buyer, Padel Odyssey shall have the right, without prejudice to any of its rights in law, to cancel this Agreement without notice to the Buyer and to retain any payments received in terms of this Agreement as a genuine pre-estimate of the liquidated damages suffered by it, and to act with the Packages as Padel Odyssey may deem fit, and may elect to proceed against the Buyer for the entire cost as per the booking form.
2.6 Be aware that the Packages (e.g., event tickets, court hires, coaching slots) are subject to availability at the time of booking and subject to restrictions from a commercial rights perspective that may be imposed from time to time by the applicable padel federation (e.g., Premier Padel), venue, or host club.
2.7 Hereby acknowledge that Padel Odyssey hereby gives its best endeavours to find the Buyer a suitable alternative Package (e.g., alternative tickets or coaching) should the said Package not be available at the time of booking for whatsoever reason, including restrictions in terms of 2.6 above.
3. CANCELLATION OF EVENT BY EVENT ORGANISERS
Should the Event Organisers (e.g., Premier Padel or host clubs) cancel the event (e.g., Major tournament or Padel Odyssey Cup) for any reason whatsoever:
3.1 This Agreement will automatically be cancelled.
3.2 Padel Odyssey will refund the Buyer the purchase price, less 10% admin fee.
3.3 The Buyer will return any tickets or materials received to Padel Odyssey.
3.4 The Buyer agrees that it will not hold Padel Odyssey liable for any damages suffered as a result of the cancellation of the event by the Event Organisers.
4. POSTPONEMENT OF EVENT BY EVENT ORGANISERS
Should the event be postponed by the Event Organiser for any reason whatsoever:
4.1 This Agreement shall remain in full force and effect.
4.2 If postponed less than 7 days prior to or on the day of the event, the Buyer agrees that Padel Odyssey may retain the full purchase price (inclusive of VAT). The authority responsible for issuing entrance tickets or services may agree to make such elements valid for an allocated new date on which the event is to take place. Tour/retreat services (e.g., coaching, accommodations) shall be provided on the allocated new date if the event takes place within 3 days of the original date, subject to an additional nominal fee for catering or logistics services.
4.3 If postponed more than 7 working days before the event date, full tour/retreat services will be provided to the Buyer at no additional cost on the new date.
4.4 Padel Odyssey shall move the Packages (e.g., tickets, coaching) to the new dates supplied by the Event Organiser, at no extra cost to the Buyer.
5. CANCELLATION BY BUYER
This Agreement may be cancelled by the Buyer, subject to the following conditions (calculated from the scheduled start date of the Event/Tour/Retreat):
5.1 If cancelled for any reason whatsoever less than 30 calendar days prior, the Buyer agrees that he/she/it shall be liable to pay Padel Odyssey the amount equivalent to 100% of the Purchase price (inclusive of VAT), and Padel Odyssey may retain such amount.
5.2 If cancelled for any reason whatsoever 31-60 calendar days prior, the Buyer agrees that he/she/it shall be liable to pay Padel Odyssey the amount equivalent to 75% of the Purchase price or part thereof; Padel Odyssey may retain such amount and refund the balance, if any, to the Buyer. The authority responsible for issuing elements of the Package (e.g., tickets or coaching) may agree to refund the cost of such elements, in which event the Buyer shall be refunded the relevant portion of their Package in full.
5.3 If cancelled for any reason whatsoever 61-90 calendar days prior, the Buyer agrees that he/she/it shall be liable to pay Padel Odyssey the amount equivalent to 50% of the Purchase price or part thereof; Padel Odyssey may retain such amount and refund the balance, if any, to the Buyer. The authority responsible for issuing elements of the Package (e.g., tickets or coaching) may agree to refund the cost of such elements, in which event the Buyer shall be refunded the relevant portion of their Package in full.
5.4 If cancelled for any reason whatsoever 91-120 calendar days prior, the Buyer agrees that he/she/it shall be liable to pay Padel Odyssey the amount equivalent to 25% of the Purchase price or part thereof; Padel Odyssey may retain such amount and refund the balance, if any, to the Buyer. The authority responsible for issuing elements of the Package (e.g., tickets or coaching) may agree to refund the cost of such elements, in which event the Buyer shall be refunded the relevant portion of their Package in full.
5.5 If cancelled for any reason whatsoever more than 120 calendar days prior, Padel Odyssey will retain 10% of the invoiced amount (inclusive of VAT) as an admin fee and any applicable charges (e.g., processing or third-party fees), and refund the balance to the Buyer.
Cancellation by Buyer Table:
-30 days: 100% liable (full retention).
-31-60 days: 75% liable (refund balance).
-61-90 days: 50% liable (refund balance).
-91-120 days: 25% liable (refund balance).
->120 days: 10% admin fee + charges (refund balance).
6. FORCE MAJEURE
6.1 Padel Odyssey shall not be considered in breach of this Agreement to the extent that performance of its obligations is prevented by an Event of Force Majeure (e.g., acts of God, war, strikes, pandemics beyond control).
6.2 Inclement weather conditions are not a valid reason for refund or cancellation of Packages. The Buyer accepts all risks associated with Package elements (e.g., outdoor court locations), which will be communicated by Padel Odyssey at the time of booking. 7.3 Despite the above, the onus rests on the Buyer to obtain information regarding Package details, and should there be adverse conditions on event day, the risk and responsibility pertaining thereto lies with the Buyer.
7. TRAVEL RESTRICTIONS, VISAS, OR VACCINE PASSPORTS
7.1 Where Government requirements are introduced, in relation to COVID-19 or any future/similar pandemic, that require inoculations or vaccines to be taken and related proof (e.g., Vaccine Passport) to be obtained, it will be the sole responsibility of the Buyer to obtain any such requirement. Failure to do so that restricts travel or entry into any event, tour, or retreat will absolutely not entitle the Buyer to any refund whatsoever.
8. GENERAL
8.1 Padel Odyssey shall use its best endeavours to ensure that the Package inclusions (e.g., coaching, tickets, cultural activities) per the sales proposal are delivered; however, if they are unable to do so and this is out of their control (e.g., a coach, pro player, or venue is unavailable), they shall take such reasonable steps at their discretion to ensure a reasonable equivalent or replacement is made and will not be held responsible for the participation of any players, coaches, or teams, nor accept any cancellations on the basis of such replacements.
8.2 Should the purchase price be paid by credit card, then an additional 3% service fee shall be payable in addition to the original invoiced amount.
8.3 Courier/delivery fees incurred by Padel Odyssey on behalf of the Buyer will be for the Buyer’s account.
8.4 Padel Odyssey shall be entitled to charge interest, from time to time, on all overdue amounts at the rate of 2% above the prime rate (quoted by First National Bank Limited) per month, calculated from due date to date of payment.
8.5 Padel Odyssey shall be entitled, but not obliged, to institute proceedings against the Buyer out of the Magistrate’s Court; notwithstanding the amount owing exceeds the jurisdiction of the Magistrate’s Court. The Buyer agrees to be liable to Padel Odyssey (Pty) Ltd for all legal costs on the attorney and own client scale.
8.6 A certificate signed by a director or manager of Padel Odyssey reflecting the amount of the Buyer’s indebtedness to it, including the amount of interest accrued thereon, shall be prima facie proof of the contents and correctness thereof.
8.7 This Agreement constitutes the entire agreement between the parties, and no variation or amendments to any term or condition hereof shall be valid or binding on Padel Odyssey unless reduced to writing and signed by an authorised representative of Padel Odyssey.
8.8 Any annexure signed by the Buyer shall form an annexure to this Agreement, and the Buyer undertakes to be bound thereto.
8.9 The address inserted on Padel Odyssey's official quotation shall be the domicilium address nominated by the Buyer in terms of this Agreement for the purpose of serving legal notices.
8.10 The Buyer shall have no advertising or sponsorship rights or association with the event/tour.
8.11 Whilst every effort will be made to ensure the accuracy of the information contained on Padel Odyssey's website, brochure, or quote, such information is subject to change at any time without prior notice, and Padel Odyssey shall not be held liable for any inaccuracies on any website, brochure, or quote supplied by it, nor will Padel Odyssey be held liable for any damage or loss arising out of such incorrect or amended information.
9. INDEMNITY
Padel Odyssey, its employees, officers, agents, and/or invitees shall under no circumstances be held liable for any damages or loss suffered by the Buyer or any third-party bearer of the Package sold to the Buyer, arising from any act or omission by Padel Odyssey, its employees, officers, agents, and/or invitees, and the Buyer hereby irrevocably indemnifies Padel Odyssey against such claims.
